The Lufthansa Group will exercise its option to acquire a majority stake in ITA Airways in June, increasing its current 41% stake to 90%.
The acquisition will take place at a previously agreed purchase price of €325 million (R6,2 billion), subject to regulatory approvals, and is expected to close in the first quarter of 2027. As a result, ITA Airways will be fully integrated into the Lufthansa Group, both organisationally and financially.
Since January 2025, the Lufthansa Group has held a 41% stake in ITA Airways as a minority shareholder, following a purchase agreement with the Italian Ministry of Economy and Finance in June 2023. An option for the group to acquire an additional 49% was also agreed upon.
The Ministry will hold the remaining 10% but this could also be acquired by Lufthansa in 2028.
